Bio

Beverly Koo represents clients on capital markets matters, mergers and acquisitions, and other general corporate matters. Companies and sponsors seek her assistance on listings on the Main Board and Growth Enterprise Market of The Stock Exchange of Hong Kong Limited (HKEx), including H Share and Red Chip companies. Beverly also advices on secondary fund offerings, including placing, rights issues and block trades. Beverly has advised clients and transactions in industries such as apparel, automobile, textile, industrial and manufacturing, fashion and accessories, food and beverage, education, energy, environmental protection, medical, natural resources, retail, real estate and technology.

In addition, Beverly advises listed companies on public mergers and acquisitions, sizeable acquisitions and disposals, and connected and notifiable transactions, as well as a broad range of industry, regulatory, and related compliance issues involving the Hong Kong listing rules and the Takeovers Code.

Other than advising listed companies, she also advices high net worth clients and companies on sale and purchases, cross-border mergers and acquisitions, and general corporate legal matters.

  • Avalon GloboCare Corp, a NASDAQ-listed commercial-stage company specialising in precision diagnostic consumer products, on its merger with YOOV Group Holding Limited, a provider of highly advanced artificial intelligence automation solutions.
  • LHN Limited on the disposal of its 84.05% interests in its listed subsidiary, LHN Logistics Limited, to Milkyway International Chemical Supply Chain and the related voluntary general offering.
  • LHN Limited on the spin-off listing of its logistics business, LHN Logistics Limited, on the Catalist board of the Singapore Stock Exchange.
  • China Treasures New Materials Group Ltd., one of the largest manufacturers of biodegradable plastic product in northeastern China, on its IPO listing on the Main Board of the HKEx.

  • Flat Glass Group Co., Ltd., the world’s largest photovoltaic glass producer, on its A Share listing on the Shanghai Stock Exchange and the H Share listing on the HKEx.

  • Grace Wine Holdings Limited, a GEM-listed company on its very substantial disposals of the entire equity interest of Pacific Surplus Limited and its subsidiaries (being its spirits business (gin and whisky distillery business)) and the disposal of 30% of Epic Wealth Limited and its subsidiaries (being its wine business) and related transactions to a controlling shareholder.
  • Sequoia Capital in its investment in SSENSE, an international fashion e-commerce company.
