Bio

Jenny Ng is our Partner and she focuses her practice on the areas of corporate finance and capital markets, and regularly advises on listed companies transactions, fundraising exercises, takeovers, securities offerings in Hong Kong and other commercial transactions.  Jenny also has experience in advising various listed companies on regulatory compliance matters.  Prior to joining our firm, Jenny was an Assistant Vice President in the Listing Department (Listed Issuer Regulation) of the Stock Exchange and she regulated and monitored the transactions and activities of a portfolio of listed issuers mainly in the banking and insurance sectors.  She was also heavily involved in the Stock Exchange’s consultation exercises on the Rule changes relating to backdoor listings and continuing listing criteria and the subsequent Rule amendments.

  • Acted for the sole sponsor China Tonghai Capital Limited and the underwriters in relation to the Main Board listing of BoardWare Intelligence Technology Limited
  • Acted for PFC Device Inc. and its controlling shareholder, Lotus Atlantic Limited, in relation to the privatisation of PFC Device Inc. by Lotus Atlantic Limited by way of a scheme of arrangement under the Cayman Islands Companies Act and the withdrawal of listing of PFC Device Inc. from the HKEx
  • Acted for Hsin Chong Aster Building Services Limited on its debt restructuring with creditors by way of a scheme of arrangement in accordance with the Hong Kong Companies Ordinance
  • Acted for Cirtek Holdings Limited in its listing on the Main Board of the Stock Exchange
  • Acted for the sole sponsor Mason Global Capital Limited and other underwriters in relation to the listing of Home Control International Limited on the Main Board of the Stock Exchange
  • De-listing/cancellation of listing under Main Board Rule 13.24 – representing Main Board issuers in relation to “sufficiency of operations and assets” and making submissions to the Stock Exchange
  • Acted for an information technology company listed on the Main Board, whose trading of shares has been previously suspended pending, among others, the issue of financial results and the completion of independent investigation, and advising and assisting in its trade resumption

  • Acted for a mining company listed on the Main Board as to its proposed re-domicile and making submissions to the Stock Exchange
  • Acted for a catering company listed on the Main Board in its fundraising transaction
  • Acted for a dermatology specialist in the disposal of her majority stake in a very reputable dermatology specialist clinic to UMP Medical Centre Limited for HKD100 million
